Terms of Service

1. Acceptance of Terms

By accessing or using the Newtonian AI™ platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you ("you" or "User") and Newtonian AI™, operated by Deidra E. Newton ("we," "us," or "Newtonian AI").

By creating an account, submitting a lead form, or accessing any portion of the platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of an organization (e.g., a real estate brokerage), you represent and warrant that you have the authority to bind that organization to these Terms, and that organization is bound by them.

2. Description of Services

Newtonian AI™ provides an AI-powered real estate analytics platform applying principles derived from Newton's Laws of Motion to real estate market analysis. The Service includes:

• Momentum Dashboard™ — Real estate momentum scoring for South Florida ZIP codes, updated from public county property records.
• Property Evaluator — AI-powered property analysis producing a Relativity Score™ for any South Florida address, based on public tax records and sales history.
• Market Pulse — Live market momentum data across Palm Beach, Broward, and Miami-Dade counties.
• Subscription Plans — Paid subscription tiers providing additional features and property evaluations (see Pricing).

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice. We make no guarantee that the Service will be uninterrupted, error-free, or available at all times.

3. Intellectual Property

The Service, including all content, features, functionality, data, algorithms, and visualizations (including the Momentum Score™ formula, Relativity Score™ methodology, and all displayed metrics), are owned by Newtonian AI™ and protected by applicable intellectual property laws, including copyright, trademark, and trade secret laws.

You may not copy, reproduce, distribute, modify, create derivative works from, or publicly display any content from the Service without our prior written consent, except as expressly permitted by these Terms.

Public county property record data used within the Service is sourced from government records. While we take care to ensure accuracy, this data is provided for informational purposes only and Newtonian AI makes no representations as to its completeness or timeliness.

Any feedback, suggestions, or ideas you provide regarding the Service ("Feedback") become our exclusive property. You hereby assign all right, title, and interest in such Feedback to us.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service in any manner that violates applicable federal, state, or local laws or regulations.
• Use the Service to provide investment advice or recommendations to third parties in exchange for compensation, unless you hold the appropriate real estate license under Florida law.
• Misrepresent the outputs of the Service, including Relativity Scores™ or Momentum Scores™, as investment advice or guarantees of property performance.
• Scrape, harvest, or extract data from the platform using automated tools or bots without written permission.
• Attempt to gain unauthorized access to any part of the Service, other user accounts, or our systems.
• Introduce viruses, malware, or other harmful code into the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service to spam, harass, or defame any individual or entity.
• Resell, redistribute, or sublicense access to the Service without a written agreement with us.

Violations of this section may result in immediate account termination and may be referred to appropriate law enforcement authorities.

5. Data and Analytics

Newtonian AI™ collects and processes data about your use of the Service, including browsing behavior, form submissions, and geographic information, as described in our Privacy Policy. By using the Service, you consent to such collection and processing.

Analytics outputs (Relativity Scores™, Momentum Scores™, and market data) are generated algorithmically from public records and are not financial advice. You acknowledge that:

• All analytics are for informational and educational purposes only.
• Past market performance is not indicative of future results.
• Real estate investments carry risk, including the risk of total loss.
• You should consult a licensed real estate professional and/or financial advisor before making any investment decision.

6. Third-Party Services

The Service may integrate with or reference third-party services, including:

• Stripe, Inc. — For payment processing on subscription plans. Stripe's privacy policy and terms govern your payment data.
• Public County Property Appraiser Records — Source data for property evaluations and momentum scoring. We do not control and make no guarantees about the accuracy or availability of this data.
• Polsia, Inc. — The infrastructure and platform provider powering Newtonian AI™.

We are not responsible for the content, privacy practices, or availability of any third-party services. Your interactions with third parties are solely between you and the third party.

7. Fees and Billing

Paid subscription plans are billed monthly or annually as described on our Pricing page. All fees are denominated in U.S. dollars and are non-refundable except as required by applicable law.

Subscription fees are processed by Stripe. By subscribing, you authorize Stripe to charge your payment method on a recurring basis until you cancel. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period.

We reserve the right to change subscription fees with 30 days’ prior written notice. Fee changes apply to the next billing cycle following the notice period.

8. Account Termination

We may suspend, restrict, or terminate your account and access to the Service at our sole discretion, without prior notice, if:

• You violate these Terms or any applicable law.
• You use the Service in a manner that harms Newtonian AI™, its users, or third parties.
• You fail to pay subscription fees when due.
• We are required to do so by law or regulatory authority.

Upon termination, your right to use the Service ceases immediately. We may retain your data as described in our Privacy Policy. Termination does not affect any rights or obligations that accrued prior to the termination date.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEWTONIAN AI™ AND ITS OPERATOR, DEIDRA E. NEWTON, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT OF FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free.
• Data or analytics outputs will be accurate or suitable for your intended purpose.
• Any errors in the Service will be corrected.
• The Service will meet your specific requirements or expectations.

Relativity Scores™, Momentum Scores™, and any other analytics outputs are tools for informational purposes only. They are not financial advice, investment recommendations, or guarantees of property value or performance.

11. Dispute Resolution

Governing Law

These Terms and any dispute arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Palm Beach County, Florida for the resolution of any disputes arising from these Terms or your use of the Service.

Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact us at newtonianai@polsia.app to attempt to resolve any dispute informally. We will attempt to resolve the dispute in good faith within 30 days of receiving your notice.

Arbitration

If informal resolution is unsuccessful, any claim, dispute, or controversy arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in West Palm Beach, Florida. The arbitrator’s decision shall be final and binding, and judgment may be entered upon it in any court of competent jurisdiction.

Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You hereby waive any right to participate in a class action lawsuit or class-wide arbitration against Newtonian AI™.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Service, business practices, or legal requirements. When we make material changes, we will:

• Update the "Last updated" date at the top of this page.
• Post the revised Terms on this page with a clear notice.
• Email registered users of material changes, where applicable.

Your continued use of the Service after any change constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
